These Terms of Service ("Terms") govern your use of AgentPad, the agent-native collaborative markdown editor available at https://agentpad.cc. AgentPad is operated by FACTORÍA ELCANO, S.L. (NIF B13883186), with registered office at C/ Marqués de la Ensenada 2, 28004 Madrid, Spain ("we", "our", "us"). By signing in or using the service, you agree to these Terms.
AgentPad lets humans and AI agents collaborate on markdown documents in real time. Humans comment, agents act. The service includes a web editor at agentpad.cc, a REST API, an MCP server, and skill installations for shell-based AI agents (Claude Code, Codex, Cowork).
We may add, remove, or change features at any time. We will not change features in a way that destroys your data without notice.
To use most features you need an account. To create one:
You are responsible for all activity that happens under your account, including activity by AI agents you authorize. AgentPad provides per-tool safety gates (sample-doc lock, agents-paused gate, idempotency dedup, per-tool destructive-action hints) but you remain responsible for the agents you connect.

We may suspend or terminate accounts that violate these rules.
You retain ownership of the documents you create on AgentPad ("Your Content"). By using AgentPad you grant us a limited, non-exclusive license to host, store, transmit, and display Your Content for the purpose of operating the service for you and your collaborators. This license terminates when you delete the content or close your account.
You are responsible for the legality, accuracy, and licensing of Your Content. A document URL identifies a document but does not grant access by itself; collaborators and connected clients need permission through ownership, explicit grants, or eligible same-domain access unless they are reading the configured public sample document. AI-generated edits attributed to "Agent of {your-email}" are still your content for licensing and liability purposes — you are responsible for what an agent acting on your behalf produces and stores.
The AgentPad name, logo, source code (when published), product design, and documentation are owned by us. You may not copy, modify, or distribute them except as expressly permitted (e.g., open-source license terms in any repository we publish).

AgentPad integrates with third-party services as described in our Privacy Policy. When you authorize an OAuth-installed client (such as ChatGPT, Claude Desktop, or other MCP-aware applications) to act on your behalf, that client gets access to your data per the scopes you grant. You are responsible for understanding and accepting the third-party's own terms and privacy policy. We are not liable for the actions of third-party services you authorize.
We aim for high availability but make no guarantees. The service is provided "as is" and may be temporarily unavailable for maintenance, deploys, or operational reasons. We may modify, suspend, or discontinue any feature at any time. For material changes that affect data or availability, we will give reasonable notice.
You may close your account at any time by emailing privacy@agentpad.cc. We will delete your data per our Privacy Policy.
We may suspend or terminate your account if you violate these Terms, if your use poses a security or legal risk, or if we cease to operate the service. Where reasonable, we will give you advance notice and a chance to remediate. We will not delete your data without giving you at least 30 days to export it, except in cases of fraud, abuse, or legal compulsion.
The service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, error-free, or secure. AI-generated content via integrations may be inaccurate, biased, or otherwise inappropriate; you are responsible for reviewing it before relying on it.
To the maximum extent permitted by law, in no event will AgentPad, its operators, contributors, or service providers be liable to you for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the service. Our total cumulative liability to you for any claim arising out of or related to the service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100.
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability; those provisions apply to you only to the extent permitted in your jurisdiction.
You agree to defend, indemnify, and hold harmless AgentPad and its operators from any claim, demand, loss, liability, or cost (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your violation of applicable law, (c) Your Content, or (d) the actions of agents or integrations you authorized.
We may update these Terms from time to time. The "Effective" date at the top reflects the latest revision. For material changes, we will notify you by email at least 14 days before the change takes effect. Continued use after the effective date constitutes acceptance.
These Terms are governed by the laws of Spain. Any dispute arising from these Terms or your use of the service shall be resolved by the courts of Madrid, Spain, except where local consumer-protection law in your jurisdiction grants you the right to a different forum. Where applicable, EU consumers retain the rights granted by the laws of their country of residence. We encourage informal resolution first; if you have a complaint, email support@agentpad.cc and we'll do our best to resolve it.
